1.The agreement
Using the service means your organization accepts these terms.
These terms are an agreement between Signetry Technologies LLC, 230 Ganton Ct, Johns Creek, GA 30097, USA ("we", "us"), and the organization that creates an account for Zeal Inventory ("you"). The person who accepts them confirms they are allowed to bind that organization. Our Privacy policy explains how we handle information and is part of these terms. If your organization has signed an order form or separate agreement with us, that document wins where it conflicts with these terms.
2.Accounts and your team
Keep sign-in details safe; owners decide who joins and what they can do.
- Each person signs in with their own account. Do not share sign-in details.
- Owners and admins invite members and give them roles. You are responsible for what members do in your organization's account.
- Tell us at hello@zealinventory.com straight away if you think an account has been misused.
- You must be at least 18 and use the service for a business.
3.Plans, trials and payment
Pay in advance each month or year; prices and limits are on the pricing page.
- New organizations get a free trial. When it ends, choose a plan to keep adding records.
- Plans are billed in advance, monthly or annually, and renew automatically for the same period until cancelled. Every feature is included on every plan; plans differ by the number of members and locations.
- Payments are processed by Stripe. Prices exclude taxes, which are added where the law requires.
- You can cancel at any time from Settings › Billing › Manage billing. Cancelling stops the next renewal; you keep access until the end of the period you paid for. Fees already paid are not refunded, except where the law requires it.
- We may change prices for future periods. We will tell owners at least 30 days before a change applies to them.
4.If payment lapses
Your account becomes read-only rather than being shut off.
If a trial ends without a plan, or a payment fails and is not resolved, your organization's account becomes read-only: you can still sign in, see, trace and print your records and contact support, but you cannot add or change them. Choosing a plan or updating the payment method unlocks the account. We do not delete records because of a lapsed payment while the account remains open.
5.Your data
You own what you put in; we only use it to provide the service.
Everything your organization enters, imports or uploads ("your data") belongs to you. You give us permission to host, copy, process and display your data only as needed to provide, secure and support the service and as described in the Privacy policy. You are responsible for having the right to put your data into Zeal Inventory, including any personal information about your own customers, suppliers and staff.
Our staff see your data only with the consent of an owner or admin of your organization, through the support access described in the Privacy policy.
6.Compliance stays with you
Zeal Inventory helps you keep audit-ready records. It does not certify you or run your recalls.
Zeal Inventory records lots, ingredients, certificates and movements so you can answer an auditor, a certifier or a recall. Its reports are only as accurate as the records your team enters. Zeal Inventory is not a certification body, food-safety authority or legal adviser. Your organization remains responsible for its certifications, labelling, food safety, recalls and compliance with the law, and for checking reports before relying on them.
Features that use AI, such as the help assistant and reading a pasted message into an order, can make mistakes. Check what they produce before you rely on it.
7.Acceptable use
Use the service for your own business, lawfully, and without harming it or others.
- Do not break the law, infringe others' rights, or upload malicious code.
- Do not try to reach another organization's data, get around security or usage limits, or overload the service.
- Do not resell the service, or copy or reverse-engineer it to build a competing product.
- Do not use automated tools to scrape the service, other than through features or integrations we provide.
We may suspend access that puts the service, other customers or the public at risk. Where we can, we will tell you first and give you a chance to fix it.
8.Connected services
Shopify, QuickBooks and Stripe have their own terms too.
If you connect a third-party service such as Shopify or QuickBooks, you authorize us to exchange data with it on your behalf. Your use of that service is governed by its own terms, and we are not responsible for its availability or for changes it makes that affect the connection.
9.Our service and ideas you send
We own the software; ideas you share may shape it.
We own Zeal Inventory, including its software, design and help content. These terms give you the right to use it while your subscription is active; they do not transfer ownership. We keep improving the service and may change or retire features, but we will not remove a core capability of your plan during a paid period without notice. If you send us feedback or ideas, we may use them without obligation to you.
10.Availability and support
We work to keep the service running and answer support conversations from the app.
We aim to keep the service available at all times, apart from planned maintenance and events beyond our reasonable control. Support is available through the Support page in the app and by email. A separate agreement with us may set specific service levels.
11.Ending the agreement
Either side can end it; you get 30 days to ask for your data.
You can stop using the service and cancel your plan at any time. We may end these terms if you seriously breach them and do not fix the breach within 30 days of our notice, or immediately where the law requires it. After the account closes, you may ask for a copy of your data within 30 days; we delete it within 90 days, except what we must keep by law. Sections about your data, compliance, disclaimers, liability and the law that applies continue after the agreement ends.
12.Disclaimers
The service is provided as it is, within what the law allows.
Except as expressly stated in these terms, Zeal Inventory is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the service will be uninterrupted or error-free.
13.Limits of liability
If something goes wrong, our liability is capped at what you paid us in the last year.
To the extent the law allows, neither side is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if warned they might happen. Each side's total liability arising from these terms is limited to the fees you paid us in the 12 months before the event that caused it. These limits do not apply to your payment obligations, to a breach of the acceptable use rules, or to liability the law does not allow to be limited.
You agree to defend and compensate us for claims by third parties arising from your data or from your use of the service in breach of these terms or the law.
14.Changes to these terms
We tell owners 30 days ahead of an important change.
We may update these terms. We will post the new version here with a new effective date and, for a material change, email the owners of every organization at least 30 days before it applies. Continuing to use the service after that date means you accept the new terms; if you do not, you can cancel before it applies.
15.The law that applies
Georgia law, and the courts there.
These terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules, and any dispute will be decided by the courts located there. If part of these terms cannot be enforced, the rest still applies. Neither side may transfer this agreement without the other's consent, except as part of a merger or sale of the business. Notices to us go to hello@zealinventory.com or by post to 230 Ganton Ct, Johns Creek, GA 30097, USA; notices to you go to the email of your organization's owner.
